Todd D. Pollack

Todd's practice focuses primarily on financing matters and other corporate transactions.  Todd has experience representing both financial institutions and borrowers in structuring, negotiation and documentation of a wide range of financing transactions, including secured and unsecured credit facilities, asset-based credit facilities, revolving and term loan credit facilities, healthcare-related financings, equipment financings (including vendor program facilities), aircraft financings, letter of credit facilities and acquisition financings.  Todd also advises clients in general corporate and transactional matters.  Todd joined Wachtel, Masyr & Missry, LLP in 2010. 

Representative Transactions:

-Represented a bank in the purchase of a lease and loan portfolio having an aggregate value of approximately $90,000,000.

-Represented healthcare finance group of a financial institution in over 20 early-stage loans made to outpatient surgery centers, having an aggregate loan value of approximately $120,000,000.

-Represented a start-up finance company that provided floor-plan financing to automotive dealers through a $105,000,000 credit facility, including the drafting and development of the company's lending forms and the drafting and negotiation of numerous business partnership agreements.

-Represented a hedge fund in the sale of a loan secured by an aircraft.

-Represented a start-up equipment leasing company in the formation of the company, the development of its leasing forms and the closing of its initial transactions.

-Represented a publicly-traded borrower in a $15,000,000 revolving credit facility.

-Represented a non-traditional lender in a term loan and revolving credit facility secured by real property assets. 

-Represented the borrower in a $26,000,000 ESOP financing that included an $11,000,000 bank loan facility.

-Represented the developer of software in the sale of 100% of the equity interests in a joint venture that owned related software assets.

-Represented the borrower in a $162,000,000 secured credit facility related to the sale of the company to a special purpose acquisition company.

-Represented a hedge fund as the borrower under a $250,000,000 warehouse credit facility.

-Represented an institutional pharmacy in connection with certain collateral arrangements arising out of its relationship with one of its primary pharmaceutical wholesalers.
